The legal bit.

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ENTERING THE COMPETITION AND PRINT OFF A COPY FOR YOUR RECORDS.

1. INTRODUCTION

The competition will be subject to (i) these terms and conditions and (ii) the general competition rules and you will be bound by these terms and conditions when you enter or participate in the competition or accept any prize. If these terms and conditions differ or conflict with the general competition rules then these terms and conditions will prevail.

2. THE PROMOTER

A. The AppBox brand and the AppBox website (being www.appboxmedia.com) (the “Website”) are owned and operated by AppBox Media Plc of 200 Aldersgate, London, EC1A 4HD (the “Promoter”)

3. THE COMPETITION

A. The title of the competition is the APPrentice Competition.

B. To enter theAPPrentice Competition, each entrant must:

1. Register for the competition by no later than 5pm on the 29th January 2017 (the “Registration Deadline”);

2. Develop and submit one or more mobile applications (hereafter “Entry” or “Entries”) to the Promoter by no later than 5pm on the 8th March 2017 (the “Game Submission Deadline”);

3. Promote your Entry to compete amongst the other entrants in order to achieve the highest total number of unique downloads commencing on a date to be defined by the Promoter and shared with you at the appropriate time (the “Marketing Period”);

4. Develop your Entry using the Unity platform;

5. Ensure your Entry is compatible for download via the Apple and/or Google Play digital App Store;

6. Include in your Entry submission; the title, a brief description, at least five screenshots and any other materials as may be required by the Promoter or the Apple digital app store;

7. Ensure your Entry does not include violence, nudity or gambling;

8. NOT engage in any conduct that is contrary to the spirit or intention of the competition;

9. By submitting your Entry you are agreeing to be bound by these terms and conditions.

C. All entrants must be registered by no later than the Registration Deadline. All registration entries received after the Registration Deadline are automatically disqualified.

D. All Entry submissions must be received by the Promoter by no later than the App Submission Deadline. All Entry submissions received after the App Submission Deadline is automatically disqualified.

E. To enter the competition: (a) enter the competition online by submitting the online entry form provided on www.appboxmedia.com by Closing Date.

F. No purchase necessary and there is no charge to register for use of the Website.

G. There will be three (3) prize winners in total. (each a “Winner”)

H. The First Prize, Second Prize and Third Prize are together the “Prizes”.

I. The Promoter reserves the right to exclude a game from the competition and any promotion on our AppStore that the judges find does not meet minimum quality guidelines. Judges decision is final.

J. The Promoter will not accept responsibility for Entries that are lost, mislaid, damaged or delayed in transit, regardless of cause, including, for example, as a result of any postal failure, equipment failure, technical malfunction, systems, satellite, network, server, computer hardware or software failure of any kind.

K. By submitting the Entry, you are agreeing to be bound by these terms and conditions.

N. The competition Entries will be judged objectively by the Promoter in two rounds. The first will be on the basis of code quality, playability, art design and sound, by the AppBox Team. Games that are deemed to have past this round will then be added to the AppBox App Stores – Google Play and Apple App Store – as appropriate. The number of downloads over an agreed period will be measured, and the top three will be awarded prizes.

O. In the event of a tie for positions First Prize, Second Prize or Third Prize; the competition Entries with an equal number of total unique downloads will be given a further 24 hours extension to achieve further unique downloads. At the end of this extension, the total unique download numbers achieved during the 24-hour extension will be used to determine their prize ranking. The decision of the Promoter (acting reasonably) will be final.

4. ELIGIBILITY

A. The competition is open to persons aged 18 years old or older.

B. In order to be eligible for the Prizes, entrants must provide personal details as requested by the Promoter and which may include name, date of birth, address, telephone number and/or email address. All personal details will be processed in accordance with the Promoter’s privacy policy, which is available at: http://appboxmedia.com/privacy-policy/

C. The competition is not open to employees and relatives of employees of the Promoter or any of its subsidiary or affiliated companies, or any other person connected with the competition.

D. The Promoter will not accept competition Entries that are:

. (a) automatically generated by computer;
. (b) completed by third parties;

. (c) illegible, have been altered, reconstructed, forged or tampered with; . (d) not originals; or
. (e) incomplete.

E. Entrants must submit at least one Entry.

F. Each Entry must be in English. Entries can include translations in any language the entrant see fit, but the Entry submitted to the Promoter must be in English.

G. Joint submissions are allowed to residents in the UK aged 18 years or over and enrolled on a course at a university in the UK. If you are applying on behalf of a joint submission you must ensure that you have the consent of all members of the joint submission. The Promoter, any university and any university society or club will not be responsible for and will not intervene in the event of any dispute howsoever arising out of or in connection with any joint submission.

H. Your Entry or participation in the competition and/or the Prizes is at your own risk and your health and safety is your own responsibility. If the competition or the Prizes requires you to undertake any physical activity please ensure, before entering the competition, that you (i) are in good health and (ii) have no underlying medical condition and are taking no medication that could adversely affect you.

I. The Promoter reserves the right to disqualify you from the competition and/or the Prizes (without liability or compensation) if you (in the Promoter’s opinion, which shall be final) conduct yourself in a way which exposes you or others to any medical, security, safety or other risk whatsoever (including being intoxicated or abusive in any way).

J. The Promoter reserves all rights to disqualify you if your conduct is contrary to the spirit or intention of the competition.

5. THE PRIZES

A. The Winner based on the criteria agreed will receive £3,000.00 (the “First Prize”).

B.The Winner based on the criteria agreed will receive will receive £1500.00 (the “Second Prize”).

C. The Winner based on the criteria agreed will receive will receive £500.00 (the “Third Prize”).

D. The Prizes are team prizes and, if the Winner consists of more than one individual (via a joint submission), the Prizes will be awarded to the team as a whole and is to be divided how the team sees fit.

E. The Prizes are supplied by the Promoter. The Promoter reserves the right to replace the Prizes with alternative prizes of equal or higher value if circumstances beyond the Promoter’s control makes it necessary to do so.

F. The Prizes are not negotiable.

6. WINNER ANNOUNCEMENT

A. The Winner of the competition will be announced in any reasonable publicity required by the Promoter on  the Announcement Date.

B. The decision of the Promoter is final and no correspondence or discussion will be entered into.

C. The Promoter will contact the Winner personally as soon as practicable after the Announcement Date, using the telephone number or email address provided with the Entry. The Promoter may not amend any contact information once the competition entry form has been submitted.

D. The Promoter may send the name and county of the Winner to anyone who writes within one month after the Closing Date of the competition requesting details of the Winner and who encloses a self-addressed envelope to the address set out in condition 2.

7. CLAIMING THE PRIZE

A. If you are the Winner of any Prizes, you will have 28 days from the Announcement Date to claim any Prizes by refer to the details of how to claim in condition 5 (G). If you do not claim the prize by this date, your claim will become invalid.

B. The Prizes may not be claimed by a third party on your behalf.

C. The Promoter will make all reasonable efforts to contact the Winner. If the Winner cannot be contacted or is not available, or has not claimed their Prizes within 28 days of the Announcement Date, the Promoter reserves the right to offer the Prizes to the next eligible entrant selected from the correct Entries that were received by no later than the App Submission Deadline.

8. LIMITATION OF LIABILITY

A. Insofar as is permitted by law, the Promoter, its agents or distributors will not in any circumstances be responsible or liable to compensate the Winner or entrant (and/or any guest or parent/guardian of any Winner or entrant) or accept any liability for any loss, damage, personal injury or death occurring as a result of taking up any Prizes except where it is caused by the negligence of the Promoter, its agents or distributors or that of their employees. Your statutory rights are not affected.

B. You agree to indemnify the Promoter and our employees against all costs, losses, damages, expenses and liabilities (including for loss of reputation and goodwill and professional advisors fees) suffered by us arising as a result of a breach by you of your obligations under these terms and conditions or in any way in connection with your failure to follow our reasonable instructions with regard to your Entry into the competition or taking of any Prizes.

9. OWNERSHIP OF COMPETITION ENTRIES AND INTELLECTUAL PROPERTY RIGHTS

A. By submitting an Entry, the Entry and all accompanying material submitted to the Promoter will remain in your ownership. However, for the purposes of the competition, you agree to licence the intellectual property rights in the Entry to the Promoter, the licence lasts for the duration of the competition only, subject to any contract entered into as provided for by C below.

B. By submitting your Entry and any accompanying material, you agree to:

(a) assign to the Promoter all your intellectual property rights with full title guarantee. This lasts for the full period of the competition and you agree that you will help us by carrying out anything required by us to give effect to this clause; and

(b) waive all moral rights, in and to your Entry and otherwise arising in connection with your Entry to which you may now or at any time in the future be entitled under the Copyright, Designs and Patents Act 1988 as amended from time to time and under all similar legislation from time to time in force anywhere in the world, for the duration of the competition.

By submitting your Entry and any accompanying material, you confirm that:

. (a) Images and other submissions are original works, are not defamatory and do not infringe third-party rights;

. (b) There are no conflicting agreements in place that restrict usage of these images or other submissions;

. (c) You have consent to use any third-party image in the Entry and rights have been waived for that use. If a third party image is of a person under 18, parental or guardian consent must be provided;

. (d) Your Entry does not violate any applicable law or regulation (including any laws regarding anti-discrimination or false advertising);

. (e) Your Entry does not, to the best of your knowledge, contain any viruses or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information;

. (f) You will produce evidence of any required consents at the Promoter’ s request, or risk being disqualified from entering the competition;

. (g) You understand the Promoter may use your Entry and any accompanying material for the purposes of promoting its business (for example by putting it on television channels, mobile services and websites);

. (h) In consideration of the Promoter agreeing to consider you for the competition, you understand that should your Entry be selected by the Promoter to take part in the competition you may agree to enter into optional separate incidental contracts with the Promoter; and

. (i) You acknowledge that the fulfillment of any Prizes will be subject to execution by the entrant to the competition of an assignment of rights or further documentation in respect of the Entry.

(j) You acknowledge that no royalties will be received in any way.

C. Following the expiry of the competition period, you may wish to enter into a promotion, publication and sale agreement (“Agreement”) with the Promoter on the Promoter’s standard terms, where the Promoter shares royalties received with you, subject to contract.

Where you enter into an Agreement, you will agree to assign 50% ownership in the Entry to the Promoter, with the remaining 50% ownership of the Entry licensed to the Promoter for the promotion, publication, and sale of the Entry, again subject to contract.

10. DATA PROTECTION AND PUBLICITY

If you are the Winner of the competition, you agree that the Promoter may use your name, the name of your university club or society, image and town or county of residence to announce the Winner of this competition and for any other reasonable and related promotional purposes.

B. You further agree to participate in any reasonable publicity required by the Promoter.

C. By entering the competition, you agree that any personal information provided by you with the Entry may be held and used only by the Promoter or its agents and suppliers to administer the competition.

11. NO PARTNERSHIP OR AGENCY

A. Nothing in these terms and conditions is intended to, or shall be deemed to, establish any partnership or joint venture between any of the parties, constitute any party the agent of another party, or authorise any party to make or enter into any commitments for or on behalf of any other party.

12. GENERAL

A. If there is any reason to believe that there has been a breach of these terms and conditions, the Promoter may, at its sole discretion, reserve the right to exclude you from participating in the competition.

B. This competition is in no way sponsored, endorsed or administered by, or associated with, any university, Facebook, Twitter or any other corporations, companies, associations, firms, partnerships, societies, and joint stock companies, as well as individuals.

C. Links to third party websites on the Promoter’s website are provided solely for your convenience. If you use these links, you leave the Promoter’s website. The Promoter has not reviewed all of these third party websites and does not control and is not responsible for these websites or their content or availability. The Promoter therefore does not endorse or make any representations about them, or any material found there, or any results that may be obtained from using them. If you decide to access any of the third party websites linked to the Promoter’s website, you do so entirely at your own risk.

D. The Promoter, any university and any university society or club will not be responsible or liable for any tax, levies and duties applicable in any country. If any taxes, levies, duties or any charges whatsoever are levied on any Prizes by any competent authority, the Winner will be liable for these and the Prizes value will not be increased to compensate for such charges.

E. The Promoter, any university and any university club or society will not be liable to reimburse or refund any cost or expenses that may be incurred in participating in the competition.

F. These terms and conditions are not intended to benefit or be enforceable by any third party and the Contracts (Rights of Third Parties) Act 1999 shall not apply to these Terms.

G. The Promoter reserves the right to hold void, suspend, cancel, or amend the competition where it becomes necessary to do so.

H. Any failure by the Promoter to enforce any of the terms and conditions does not give rise to any claim or right of action by any person and shall not be deemed to be a waiver of the promoter’s rights in relation to the same.

I. These terms and conditions and any non-contractual obligation arising out of or in connection with these terms and conditions shall be governed by and construed in accordance with English law and the Promoter and the Winner and any entrant into the competition irrevocably submits to the exclusive jurisdiction of the English Courts with regard to any claim arising under or in connection with these terms and conditions and any non-contractual obligation arising out of or in connection with these terms and conditions.
